Our work

The sale of the family business or a major asset.

The family sells its business, or a controlling stake. We run the family's side of the process with the advisers it has already appointed, so the office can keep doing its job.

When this happens.

  • The family has decided to sell, or has received an approach it wants to take seriously.
  • No one in the office has run a sale process before.
  • Several advisers are about to be appointed, and someone has to hold them together.
  • The sale will change what the office is for, and the family wants to plan for the day after.

What we do.

We carry the process for the family. We do not replace the M&A adviser, who finds the buyer and negotiates the price. We keep one thread through the whole sale and remain the family's voice at the table.

  • Before the process

We look for the sensitive points before a buyer does: a dispute, a dependence on one client, a key person. A problem disclosed on the seller's terms is a footnote; the same problem found in due diligence is a discount.

  • The terms of the process

We make sure the terms of the sale process are balanced, that the team can handle the due diligence with a clear head, and that the family's interests are protected throughout.

  • The advisers

We act as the conductor, so that each adviser can focus on their own expertise and bring the family as much value as possible, while the whole process moves forward in step.

  • After completion

Escrow, price adjustments and warranty periods run on after the signing. We stay with the family through them, and help it decide what the office does next.

What the family keeps.

A process the family understood and kept in its hands, advisers who each did their part, and an office that kept running. What the proceeds become is the next decision, and the family takes it with time to think.
